These Terms of Service ("Terms") are between you and Kaiho ("Kaiho," "we," "us," or "our"), and govern your access to and use of Kaiho, including its website, applications, AI-assisted simulations, structured learning content, mentor tools, notebooks, whiteboards, and other current or future learning features, tools, and services we make available (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to these Terms and to Kaiho's Privacy Policy. If you do not agree, do not use the Service.
1. What Kaiho Is
Kaiho is a unified learning platform built to support real understanding, exploration, and skill-building. Kaiho currently includes AI-assisted simulations, structured learning content, mentor-style guidance, and learning workspace tools, and may add more learning features, tools, and experiences over time.
Kaiho is an educational support service. It is not an accredited school, university, certifying body, or a substitute for qualified professional instruction.
2. Eligibility
You must be at least 18 years old to create an account or use Kaiho.
By using Kaiho, you represent and warrant that you are at least 18 years old and legally capable of entering into this agreement.
3. Account Required
You must create and maintain an account to use Kaiho. You agree to provide accurate, complete, and current information and to keep your login credentials secure.
You are responsible for all activity under your account unless you promptly notify Kaiho of unauthorized access or a security issue. Kaiho may suspend or restrict access if it reasonably believes your account is compromised, fraudulent, abusive, or being used in violation of these Terms.
4. Your Use of Kaiho
You may use Kaiho only for lawful, personal, educational, and otherwise permitted purposes. You may not:
- use Kaiho in violation of law or another person's rights;
- upload, submit, or use content that you do not have the right to use;
- use Kaiho for fraud, harassment, abuse, plagiarism-for-hire, contract cheating, or exam evasion;
- reverse engineer, scrape, overload, disrupt, probe, or bypass technical protections, safety systems, or usage limits;
- use Kaiho or its outputs to build, train, benchmark, fine-tune, or improve a competing product, model, or platform;
- remove, hide, alter, or interfere with any AI-generated, synthetic-content, or attribution labels applied by Kaiho;
- use Kaiho to generate malware, exploit code, deceptive impersonations, deepfakes, or harmful or illegal content.
5. User Content
You may submit prompts, notes, files, messages, documents, and other materials to the Service ("User Content"). You retain your rights in your User Content.
You grant Kaiho a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, process, reproduce, and modify your User Content only as needed to operate, secure, maintain, improve, and provide the Service to you, and to comply with legal obligations.
You represent and warrant that you have the necessary rights to submit your User Content and that doing so does not violate any law or third-party rights.
6. AI Outputs and Learning Content
Kaiho may generate simulations, explanations, hints, summaries, lesson materials, mentor responses, structured learning content, and other outputs ("Output").
Output may be incomplete, inaccurate, outdated, biased, or unsuitable for your specific context. You are responsible for reviewing and using your own judgment before relying on Output.
Kaiho does not guarantee academic performance, exam results, conceptual correctness in every case, or fitness of Output for official, professional, regulated, or high-stakes use.
7. Academic Integrity
Kaiho is designed to support genuine learning, not to replace thinking. You are responsible for how you use Kaiho in school, university, exams, work, research, or other evaluated settings.
If your institution, employer, or program limits or prohibits AI use, you must follow those rules. Kaiho may suspend or terminate accounts used for academic misconduct, contract cheating, or similar abuse.
8. Simulations Disclaimer
Kaiho's simulations and simulation outputs are for educational visualization and conceptual learning only. They are simplified models and should not be relied on for real-world engineering, architecture, construction, aviation, medical, laboratory safety, or any other safety-critical or professional application.
Kaiho is not responsible for decisions made by relying on simulations outside their educational purpose.
9. Paid Plans, Credits, Billing, and Cancellation
Kaiho may offer paid subscriptions, usage-based features, credits, add-ons, or other paid services. If you purchase a paid feature, you agree to pay the charges shown at checkout and authorize Kaiho or its payment processors to charge your selected payment method.
If a subscription renews automatically, it will continue until canceled in accordance with the cancellation terms shown at checkout or in your account settings.
If Kaiho uses credits, their allocation, expiry, rollover status, refundability, and failed-generation treatment will be governed by the pricing and refund terms disclosed at purchase.
Kaiho may change pricing, plan features, or credit rules prospectively, but not retroactively in a misleading or unlawful way.
10. Refunds
Kaiho offers a 3-day refund window for eligible paid charges. Outside of that window, payments are non-refundable unless required by law.

If Kaiho states that failed or undelivered services are not charged, Kaiho will apply that policy according to its internal usage and billing records.
11. Third-Party Services
Kaiho may rely on third-party providers for hosting, authentication, payments, storage, analytics, communications, and AI processing. Kaiho is not responsible for third-party outages, interruptions, or policy changes outside Kaiho's reasonable control.
Your use of certain third-party-linked services may also be subject to their own terms and policies.
12. Intellectual Property
Kaiho and its licensors own the Service, including its software, interface design, branding, system architecture, prompts, workflows, and underlying technology, except for User Content owned by users.
Subject to these Terms, Kaiho grants you a limited, non-exclusive, non-transferable right to use the Service and the Output made available to you through the Service.
You may not copy, sell, sublicense, redistribute, reverse engineer, or create derivative commercial products from the Service except where applicable law clearly permits it.
13. Feedback
If you send Kaiho suggestions, ideas, or feedback, Kaiho may use them without restriction or compensation to you.
14. Service Changes and Availability
Kaiho may add, remove, delay, change, or discontinue any part of the Service at any time. Some features may be marked experimental, beta, preview, or coming soon, and may change or be withdrawn without notice.
Kaiho does not guarantee uninterrupted availability or error-free operation.
15. Suspension and Termination
You may stop using Kaiho at any time.
Kaiho may suspend, limit, or terminate your account if you violate these Terms, fail to pay amounts due, create legal or security risk, abuse the Service, or if Kaiho is required to do so by law.
If Kaiho terminates an account for cause, Kaiho may deny restoration of paid credits or access to the extent permitted by law and the applicable pricing or refund policy.
16. Disclaimers
To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. Kaiho disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, security, and accuracy.
Kaiho does not guarantee that the Service will always be available, uninterrupted, secure, or free from bugs or errors.
17. Limitation of Liability
To the maximum extent permitted by law, Kaiho will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity arising out of or related to the Service.
To the maximum extent permitted by law, Kaiho's total aggregate liability for claims arising out of or related to the Service or these Terms will not exceed the greater of:
- the amount you paid to Kaiho in the 12 months immediately before the event giving rise to the claim; or
- INR 10,000.
Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
18. Indemnity
To the extent permitted by law, you will indemnify and hold harmless Kaiho and its affiliates, personnel, and service providers from claims, losses, liabilities, and expenses arising from your User Content, your misuse of the Service, or your violation of these Terms or another person's rights.
19. Governing Law and Disputes
These Terms are governed by the laws of India.
Subject to applicable consumer-protection law, disputes arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Kerala, India, unless Kaiho later adopts a separate arbitration clause.
20. Changes to These Terms
Kaiho may update these Terms from time to time. If Kaiho makes material changes, Kaiho will provide notice by updating the date above, posting notice in the Service, emailing users, or by other reasonable means.
Your continued use of the Service after the updated Terms take effect means you accept the revised Terms.

22. Entire Agreement
These Terms, together with the Privacy Policy, refund terms, and any feature-specific rules incorporated by reference, form the entire agreement between you and Kaiho regarding the Service.
